The Portal agrees to provide the registered vendor with qualified leads ("Leads") in accordance with the terms and conditions of this Agreement.
a. The Portal shall generate Leads through its own methods and resources. The Portal shall not run any specific campaigns for the registered vendor.
b. The Portal shall qualify each Lead based on its internal criteria. The qualification process will include assessing the Lead's requirements and identifying the potential value of the Lead.
c. The Portal shall provide the registered vendor with a detailed profile of each Lead, including but not limited to:
i. Contact information
ii. High-level project requirements
iii. Estimated project value
iv. Notes from the Portal's qualification manager
a. The registered vendor shall have the right to review the details of each Lead provided by the Portal.
b. The vendor will decide to accept or reject the Lead based on the detailed requirements communicated by the Portal’s qualification manager.
c. Once a Lead is accepted by the registered vendor, it cannot be rejected or refunded.
a. The registered vendor shall pay for each Lead individually at the agreed-upon price. No upfront purchase of lead packs is required under this Agreement.
b. The agreed Lead prices shall be communicated to the registered vendor prior to their acceptance of the Lead.
c. Payment for accepted Leads must be completed within the agreed timeline upon acceptance.
a. The Portal or its parent company makes no representations or warranties, express or implied, regarding the conversion of Leads into actual business for the registered vendor.
b. The Portal or its parent company shall not be liable for any loss or damage suffered by the registered vendor arising out of or in connection with the Leads provided under this Agreement.
Both parties agree to hold confidential all information received from the other party in connection with this Agreement, except as required by law.
This Agreement may be terminated by either party upon 15 days' written notice to the other party.
This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Agreement shall be settled amicably between the parties. In the event that the parties are unable to reach an amicable settlement, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be with Nagpur Jurisdiction.
